1. Your Account and Eligibility

• You must be at least 18 years old and able to form a binding contract.
• Maintain accurate account information and keep credentials secure.
• You are responsible for activities under your account.

2. Third‑Party Platforms and Provider Compliance

We integrate with third parties, including Twilio (telephony/messaging), OpenAI (AI models), Meta (business tools and social platforms), and Google (authentication and other APIs). Your use of features that rely on these providers must comply with their respective terms and policies, which are incorporated by reference:

• Twilio: Messaging Policy, A2P 10DLC, CTIA guidelines, anti‑spam rules, and applicable carrier rules.
• OpenAI: Usage policies, safety guidelines, and content restrictions.
• Meta: Platform Terms, Graph API, Business Tools Terms, and applicable advertising/brand safety policies.
• Google: API Services User Data Policy, OAuth policies, and relevant product terms.

You must not use the Services in a manner that would cause Investor Level Up or its providers to violate their policies or applicable law.

3. Acceptable Use

• No illegal, harmful, deceptive, or fraudulent activity.
• No harassment, hate, discrimination, threats, or exploitation.
• No intellectual property infringement, privacy violations, or security breaches.
• No attempts to reverse engineer, bypass technical protections, or misuse APIs.
• No scraping or data harvesting that violates third‑party terms or applicable laws.

3.1 Telephony, SMS/MMS and Email (Twilio/Carriers)

• Obtain express consent before sending messages (opt‑in); honor STOP/END/CANCEL/UNSUBSCRIBE to opt‑out and HELP for assistance.
• Maintain clear identification of the sender and a compliant use case (e.g., A2P 10DLC registration when required).
• No SHAFT content (Sex, Hate, Alcohol (where prohibited), Firearms, Tobacco) or other carrier‑prohibited content.
• No unsolicited or bulk spam, lead‑purchased lists, or prohibited financial/health claims.

3.2 AI Features (OpenAI and similar)

• Do not use AI to generate or disseminate illegal content, malware, or disallowed content under provider policies.
• Do not attempt to extract sensitive personal data, identify protected attributes, or re‑identify individuals.
• Acknowledge that AI outputs may be inaccurate; you remain responsible for review and use.
• No automated decision‑making in regulated contexts without human oversight and compliance safeguards.

3.3 Meta and Google Platform Use

• Use only approved APIs and scopes; do not misuse tokens or circumvent rate limits.
• Store only necessary data, for the minimum time needed; comply with user permissions and revocations.
• Follow applicable advertising, data handling, and brand safety rules.

4. Content and Data

• You retain ownership of your content. You grant Investor Level Up a worldwide, non‑exclusive license to host, process, transmit, and display your content solely to operate and improve the Services.
• We may remove content that violates these Terms or law.

5. Privacy and Security

• We implement reasonable technical and organizational measures to protect data.
• You will not upload regulated data unless you are properly licensed or legally authorized to handle it and the feature explicitly supports that data type (e.g., PHI under HIPAA, PCI full PANs, children’s data under COPPA, or government‑restricted information).
• You will promptly notify us of any suspected compromise of your account credentials.

6. Intellectual Property

• Investor Level Up and its licensors retain all rights in the Services, software, and branding.
• Send DMCA notices to legal@investorlevelup.com for alleged infringement with sufficient detail to locate the material.

7. Warranties and Disclaimers

• The Services are provided “as is” without warranties of any kind.
• AI outputs may be non‑deterministic and may contain errors; you bear responsibility for use.

8. Limitation of Liability

To the maximum extent permitted by law, Investor Level Up is not liable for indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill.

9. Suspension and Termination

• We may suspend or terminate access for violations of these Terms, provider policies, or law.
• Upon termination, your license to use the Services ends; certain provisions survive.

10. Export Controls and Sanctions

You represent you are not subject to sanctions and will not use the Services in embargoed countries, for prohibited end users, or for prohibited uses under applicable export control laws.

11. Changes to the Services and Terms

We may update the Services and these Terms. Material changes will be posted with an updated effective date. Continued use after changes constitutes acceptance.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Colorado, United States, without regard to conflicts of law principles. You consent to the exclusive jurisdiction and venue of the state and federal courts located in Colorado (e.g., Denver County), unless otherwise required by applicable law. If you are a consumer resident in another U.S. state, mandatory consumer protections of your state may apply in addition to Colorado law as required. U.S. federal law applies where it preempts or is otherwise applicable.
